Definitions

In these General Conditions, terms used in uppercase without grammatical justification have the following meaning:

• “General Conditions” means these terms and conditions.
• “Rules of Use” means the rules of use to be observed by all Users contained in these General Terms and Conditions.
• “InApp Payments” means TIMP’s service that allows End Users to manage End User payments from TIMP, without the need to register with third party platforms.
• “Terms of Service” means these T&Cs, the Privacy Policy and the Cookie Policy.
• “TIMP” means the software developed by TMT with online support (SaaS) and mobile application (App).
• “TIMPY” means the TIMP module that allows Professional Users to offer services to TIMPY Users.
• “TMT” stands for Time Management Technologies, S.L.
• “Users” any user of TIMP, whether End User or Professional User.
• “End Users” means, customers of Professional Users, who use TIMP, including TIMPY Users.
• “Professional Users” means TIMP user centers and professionals.
• “TIMPY Users” means TIMPY end users, who have registered to access the TIMPY application and who make service bookings from offers posted by Professional Users on TIMPY.

1. Legal information

www.timp.pro is a domain registered by TIME MANAGEMENT TECHNOLOGIES, SL, a Spanish entity with registered office in Valencia 46015, Calle Mestre Artesa Fonedor Vte Ríos Enrique, 7 – BJ, C.P. 46015, provided with NIF B-98684186 and registered in the Commercial Registry of Valencia on November 20, 2014, Volume 9874 Folio 44. 2. Introduction

TMT is a technological development company that owns TIMP, software with online support (SaaS) and a mobile application (App). With these computer developments, TMT seeks to facilitate Professional Users’ management of bookings, client CRM, schedule generation, agendas, and calendars, among others. Through TIMP, Professional Users can manage the bookings, payments, and purchases of their End Users. Any User wishing to use TIMP must register as a user and generate a password in accordance with the provisions of these Conditions.

These General Conditions apply to the provision of services by TMT and regulate the access and use of the TIMP online software and mobile application by Users. Please read these General Conditions carefully before contracting TMT’s services. By proceeding with your contract, you agree to be bound by these Conditions.

TMT may unilaterally change any part of the Terms of Service without prior notice to Users to reflect any regulatory changes, changes in the features of TIMP and/or the services offered therein, or for any other reason. In any case, modifications will be published to facilitate Users’ reading and consultation at all times, and will also be communicated to Professional Users electronically.

Once the updated Terms of Service are in effect, you will be bound by them if you continue to use TIMP.

3. Object

The purpose of these General Conditions is to regulate the use that Users make of the TIMP online software and mobile application.

The existing relationship between Professional Users and End Users is external and independent of TMT and, consequently, does not bind TMT in any way. TMT is not responsible under any circumstances for the provision of services by Professional Users to End Users or for the fulfillment of obligations existing between them, even if they are formalized through TIMP. Professional Users must adequately inform End Users of their status as providers of the services offered.

4. Registration in TIMP and contracting procedure for professional users

The use of TIMP, through the corresponding registration, attributes the status of User. The User must accept the General Conditions reflected here from the moment of registration.

For registration, the TIMP software will request from the Professional User the minimum necessary and essential data, which will be treated in accordance with the TMT Privacy Policy.

Access to TIMP by Professional Users will be carried out remotely via the Internet using a username and password defined by the Professional User, who is solely responsible for its custody and proper use.

TMT offers Professional Users the use of TIMP for fifteen (15) days free of charge and without commitment. Once the trial period has ended, the Professional User may contract the TIMP service by accepting the particular conditions which will specify, among other aspects, the monthly cost of the chosen plan, term, functionalities, and contracted modules. If, on the contrary, the Professional User does not proceed to contract the TIMP service after the trial period, the relationship with TMT will be terminated and, therefore, they will no longer be able to access their TIMP account.

The Professional User, at their discretion, may activate the registration option for their clients, who may use the TIMP software as End Users, for which they must register in TIMP. In this case, TMT will access the data provided by End Users during the registration process in TIMP following the Professional User’s instructions.

The procedure for Professional User cancellations will be carried out in accordance with the provisions of section 8. Cancellation of Professional Users.

5. TIMP functionalities and modules

TIMP allows Professional Users to: (i) manage their portfolio of activities/services through an intuitive control panel; (ii) establish their activity calendar and schedules, manage the activity calendar of several centers through a single control panel; (iii) create individualized profiles for each of the professionals/employees of the center, where their respective schedules and sessions can be assigned; (iv) monitor and check the status of sessions in real time (capacity, professional and resources assigned to the service, booking status, cancellations, etc.); (v) have functionalities related to the accounting and invoicing of their professional activity; (vi) send communications to End Users with alerts, reminders, payment receipts, etc.; (vii) offer services to TIMPY Users; (viii) control access to facilities.

The aforementioned functionalities may be expanded or modified progressively in successive software updates.

To provide some of the functionalities of TIMP and its mobile application or additional modules, TMT must rely on services provided by third parties. In these cases, TMT will previously communicate this to the Professional User for their information.

TIMP has different modules for Professional Users, which can be contracted by them at any time following the instructions that appear in TIMP. The terms and conditions applicable to each module are those indicated below or those indicated, where appropriate, in the contracting of other modules. By contracting a module through TIMP, the Professional User accepts the terms and conditions indicated for each of them in these General Conditions.

TMT and Professional Users will agree at all times on the particular conditions for contracting new modules through TIMP. These particular conditions and these General Conditions will be a single document that will regulate the relationship between Professional Users and TIMP.

5.1 TIMP Streaming

TIMP offers Professional Users the possibility of configuring services in “Online” mode. These services will allow the Professional User to offer their End Users services that can be enjoyed via videoconference.

Depending on the mode configured by the Professional User in the service settings in the TIMP panel, End Users may or may not broadcast video.

The different modes offered by TMT and their price can be consulted by the Professional User in the online session configuration through their TIMP user account. The Professional User must carefully read the terms and conditions applicable at the time of configuring this service.

TIMP Streaming is a state-of-the-art system that does not need any particular extra software to function (professionals and attendees can use it from any web browser, TIMP Express, or TIMP client applications) but as such, it needs a stable internet connection and a device of sufficient quality to process the video. TMT recommends that Professional Users consult the technical recommendations to ensure proper use of the TIMP Streaming service. Likewise, the Professional User must check that their technological resources meet the minimum requirements indicated at the time of session configuration to ensure proper service provision.

For the purpose of facilitating the corresponding technical checks for the Professional User, TMT provides a URL through which it can be confirmed that the service is working properly.

5.2 TicketBAI

TicketBAI is a joint project of the three Provincial Treasuries and the Basque Government, whose objective is the implementation of a series of legal and technical obligations that imply that all persons exercising economic activity must use billing software that meets certain technical requirements.

TMT offers the necessary functionalities so that our Professional Users comply with their obligations derived from TicketBAI. The details of the functionalities provided and their price and payment method can be consulted in the terms and conditions that will be made available to Professional Users at the time of configuring this module. The Professional User must carefully read the terms and conditions applicable at the time of contracting this module.

Professional Users declare they are aware that TMT subcontracts this service to a third-party provider specialized in the matter, connected with the Provincial Treasuries. Consequently, the Professional User acknowledges that TMT will not be responsible for the acts or omissions performed by said provider. In any case, if any interruption or deficient service provision occurs and is brought to TMT’s attention, we will make our best efforts to resolve it as soon as possible.

Professional Users acknowledge and accept, as data controllers of their clients’ personal data, that the provider, as a data sub-processor, will have access to personal data for which TMT is the data processor, in order to comply with the Professional Users’ obligations derived from the TicketBAI system. TicketBAI is a joint project of the three Foral Treasuries and the Basque Government, whose objective is the implementation of a series of legal and technical obligations implying that all individuals carrying out economic activity must use invoicing software that complies with certain technical requirements.

TMT offers the necessary functionalities so that our Professional Users comply with their obligations derived from TicketBAI. The details of the functionalities provided and their price and payment method can be consulted in the terms and conditions that will be made available to Professional Users at the time of configuring this module. The Professional User must carefully read the terms and conditions applicable at the time of contracting this module.

Professional Users declare they are aware that TMT subcontracts this service to a third-party provider specialized in the matter, connected with the Provincial Treasuries. Consequently, the Professional User acknowledges that TMT will not be responsible for the acts or omissions performed by said provider. In any case, if any interruption or deficient service provision occurs and is brought to TMT’s attention, we will make our best efforts to resolve it as soon as possible.

5.3 TIMPY

5.3.1. Functionalities

TIMP allows Professional Users to publish offers aimed at TIMPY Users for the electronic booking of their services. To do this, Professional Users must configure the schedules of the services they wish to offer in their account. In order to publish a service offer, the Professional User must follow the steps indicated in TIMPY to publish the information they deem appropriate, which will include, among others, a description of the service offered, the specific final price, and indicate, where appropriate, if it is necessary for the TIMPY User to pay for the service in advance to make the electronic booking.

In the event that the TIMPY User activates the geolocation function available in the TIMPY application, their search results, as well as the welcome page to the TIMPY application, will be adapted to prioritize the centers and services most relevant and closest to their location at that time.

TMT offers the necessary functionalities so that our Professional Users comply with their obligations derived from TicketBAI. The details of the functionalities provided and their price and payment method can be consulted in the terms and conditions that will be made available to Professional Users at the time of configuring this module. The Professional User must carefully read the terms and conditions applicable at the time of contracting this module.

5.3.2. Rights and obligations of Professional Users in the use of TIMPY

The Professional User who activates TIMPY has the right to:

• Publish and offer their services on TIMPY.
• Add, where appropriate, information and photographs that allow for more precise identification of the services offered.
• Raise and resolve their doubts or problems derived from the use of TIMPY through the customer service.
• Unsubscribe from TIMPY without needing to justify their decision and without any kind of penalty.
• Use the different fields provided by TIMPY for the description of services, indicating all the particularities they consider necessary so that the TIMPY User is informed of the terms and conditions of the service provision.
• Configure the bookings they wish to publish on TIMPY indicating, among other aspects, the number of clients per session, assigned professional, start and end time of each session, and for each day of the week.

The Professional User undertakes to:

• Verify and check that the services they offer through TIMPY comply with applicable regulations and that, in general, the provision of services complies with administrative requirements that may apply.
• The offering of sessions on TIMPY will require that the professional assigned by the Professional User be available at the offered time. In the event that the assigned professional is listed as busy in TIMP in another activity or session at the same offered time, TIMPY will show the sessions as blocked and will not allow bookings to be accepted.
• Follow the instructions for publishing advertisements indicated in the following section.
• Guarantee the proper provision of services in the time and manner indicated in the offer published on TIMPY and respect the price published on TIMPY for said services.
• Not send TIMPY Users commercial information that they have not requested.
• Not manipulate the prices of services offered on TIMPY or interfere with the advertisements of other Professional Users on TIMPY.
• Not publish, announce, or upload content in an inappropriate category or area within TIMPY.
• Comply at all times with data protection regulations in relation to TIMPY Users.

5.3.3. Issues relating to the publication of advertisements and the making of bookings

Services offered on TIMPY must comply at all times with the Rules of Use.

The Professional User wishing to publish a service offer on TIMPY must take into account that by publishing the advertisement they are issuing a service provision offer that will be binding from the moment it is accepted by a TIMPY User. The Professional User will be responsible for the accuracy, content, and legality of the published offer.

To publish an offer, the Professional User must fill in and complete the various boxes with the information required by TIMPY. By way of illustration, they must fill in a box with the final (including applicable VAT) and invariable price of the service, the description of the service, the cancellation policy, and if the service requires advance payment. Once the offer is published on TIMPY and accepted by a TIMPY User, the Professional User may not increase the price of the service or make modifications to the information provided. Once a TIMPY User proceeds to make a booking for a service offered by the Professional User, the latter must comply with the conditions indicated in the offer and guarantee that the TIMPY User will be able to attend and enjoy said service. TMT is completely external to the contractual relationship established between the TIMPY User and the Professional User.

The Professional User may require advance payment from the TIMPY User, for which Google Pay on Android devices and Apple Pay on iOS devices must be used. The amount paid in advance by the TIMPY User will be held in their payment methods until the end of the free cancellation period for the service as configured by the Professional User without such cancellation having occurred, at which point it will be released in favor of the corresponding Professional User.

TMT may, but shall not be obliged to, review the content that the Professional User intends to publish and, consequently, from the moment the Professional User wants to publish or modify any content on TIMPY, an indeterminate period of time may elapse until its effective publication. The fact that TMT has the right to review the content and that it effectively does so in no way affects the responsibility for the content, which shall in all cases remain with the Professional User.

5.3.4. Prices and payment method

The terms of the payment and charge policy for the provision of services contracted through TIMPY will be clearly indicated in the offer published by the Professional User.

The Professional User may charge the End User at the Professional User’s own facilities, using the payment method they deem appropriate, or through the payment method available in TIMP, which will have been freely designated by TMT.

In the event that the Professional User cancels a service that had been booked and paid for by a TIMPY User, they must return to said TIMPY User any amount charged corresponding to said cancelled service.

In the event that the Professional User offers streaming services through TIMPY, provided that the end user is using iOS, the service must be charged through Apple in-app purchases. Apple applies commissions to TMT for such services (currently 30% of the service price paid by the End User) and, consequently, TMT will deliver to the Professional User the amount delivered by Apple (that is, the price paid by the End User once the commissions applied by Apple have been deducted).

5.3.5. Commissions

TMT reserves the right to charge Professional Users a commission for managing the collection from TIMPY Users. Said commission will be indicated to the Professional User during the process of requesting the publication of the offer on TIMPY.

5.3.6. TIMPY User comments and service ratings

All Services booked through TIMPY may be rated by the TIMPY User, based on the parameters determined by TMT at any given time.

5.3.7. Locate your company on the street map

By default, TIMPY adds the TIMPY User’s address to the Google Maps location search tool, to facilitate potential clients in finding the TIMPY User’s location.

This function can be disabled through TIMP by accessing the TIMPY settings through your user account.

5.4. Access Control

5.4.1. Functionalities

Professional Users who wish to do so may contract the “Access Control” module through their
TIMP user account. This module
allows automated management of entries and exits in centers or
facilities through a reader device (the “Device”) that the Professional
User must link to their door opening system or turnstiles so
that End Users can access the facilities by using
a card or wristband previously assigned by the Professional User. The
Device will be supplied by an external manufacturer as indicated in section
5.4.2 below.
Information regarding the manufacturer will be provided to the Professional User before
the purchase of the Device.
Once the Professional User contracts the module, they must upload the End User
data to TIMP and link the Device with their door opening
systems or turnstile.
The configuration, preparation, and shipment of the Device hardware will be
carried out directly by the manufacturer. TIMP does not manufacture, configure, or install
the Device directly, and therefore will not assume responsibility for
actions corresponding to the manufacturer, the technical installer, or the Professional
User, except when legally required.

5.4.2. Conditions applicable to Devices

The Device is subject to the manufacturer’s terms and conditions, which will be
made available to the Professional User prior to contracting and, in any case,
before the time of Device delivery
for review and, if applicable, acceptance.
5.4.3. Price and payment method
The acquisition price of the Device and the associated subscription fee
may vary depending on the country where the Professional User wishes to install the
Device.
The applicable and current amounts for each territory will be those specified
in the TIMP management panel at the time prior to contracting.

5.4.4. Installation and Technical Requirements

The manufacturer will provide the necessary technical documentation for the installation and
use of the Device, including, among others, an installation manual, wiring diagram,
technical data sheet, declaration of conformity or CE marking, and environmental and electrical
requirements.
The Professional User will be responsible for following the instructions provided
by the manufacturer for the installation and use of the Device and for having a
qualified electrician for its installation. Incorrect installation of the
Device may lead to the loss of warranty and will be the sole responsibility
of the Professional User.

The Professional User must ensure that the space where the
Device will be installed has an active, stable, and sufficient internet connection, as well as
the necessary technical infrastructure for the Device to function.
Depending on the model supplied, the connection may require RJ45 Ethernet cabling
or be wireless if the hardware allows it.
The Professional User must at all times have an alternative and operational
manual opening method for emergencies, technical failure,
power outage, internet failure, or any incident affecting the
Device’s operation.
TIMP will not be responsible for damages arising from the impossibility of
users entering or exiting when such impossibility results from
circumstances beyond its control. In any case, TIMP will manage Device
support requests, under the terms indicated in section
5.4.5 below.

5.4.5. Device Support

During the term of the “Access Control” module contract, the
Professional User will have access to the Device support service. This
support is provided at two levels:

• Level 1 (L1): Managed by TIMP directly with Professional
Users. This level of support offers basic troubleshooting,
configuration guidance, and issues
related to SaaS integration.
• Level 2 (L2): In the event that TIMP cannot resolve the
incident reported by the Professional User at Level 1 (L1) of the
support service, it will be escalated to the manufacturer. This Level 2 (L2)
support will be managed between TIMP and the manufacturer, according to the manufacturer’s
service level agreements or SLAs.

5.4.6. Device Warranty

The Device comes with a 12-month warranty granted by the manufacturer,
provided it is free from defects in materials and workmanship under
normal use conditions and has been installed and used in
accordance with the installation documentation.

5.4.7. Returns

Given the nature of the product (pre-configured hardware for professional
use and linked to the Professional User’s account), no refund for the
Device amount is accepted once the order has been processed, except in
cases of manufacturing defects covered by the manufacturer’s warranty, subject to
the manufacturer’s terms and conditions.

5.5. Electronic Signature Functionality

TIMP has an electronic signature system linked to the “contracts” functionality. TMT acts as a non-qualified trust service provider, providing an advanced electronic signature service.

The electronic signature provided by TIMP incorporates biometric technology, which allows for the capture of biometric data from the signer’s graph, such as the speed and pressure of the stroke, emulating a signature on paper.

Consequently, when a signer uses the TIMP electronic signature, TMT collects the signer’s biometric data on behalf of the Professional Users.

The documentation on which the electronic signature is included will be drafted entirely by the Professional User. TMT does not intervene in the drafting or monitoring of the content of said documentation. The documentation on which the electronic signature is included may include fields to be completed by the signing End User, such as date fields, checkboxes, etc. The End User must sign in a box provided for this purpose using a digital pen or their own finger. The Professional User can also generate documents that require their own signature.

TMT in no case verifies the identity of the signer nor has the capacity to do so. It is therefore the responsibility of the Professional User who collects the signature to verify said identity throughout the process, to avoid any type of falsehood or identity theft.

From the moment the document is closed once the required signatures have been collected, TIMP records the signatures in image format and locks the document, recording the date and time of closing.

TMT will keep a copy of the contracts signed by electronic signature, along with the signature itself, from the moment the contract is closed during the term of the contractual relationship between TMT and the Professional User.

From the moment storage occurs, the file remains unalterable and indivisible. The copy is kept in an encrypted warehouse to prevent unauthorized consultations.

At the time the contract between TMT and the Professional User ends, TMT will proceed to return the copy of the electronically signed contracts in accordance with the provisions of the Data Processor Contract that TMT and the Professional User sign at the time of the Professional User’s registration as a TIMP user.

TMT will not be liable for damages caused to Professional Users or End Users if any of them fall into any of the cases provided for in Regulation (EU) 910/2014 or in Article 11 of Law 6/2020, of November 11, regulating certain aspects of electronic trust services.

The End User will be previously informed about the use and processing of their biometric signature for signing documents through TIMP, and must freely, expressly, and unequivocally accept the use, processing, and storage of their biometric personal data (Special category of personal data) by TMT (as data processor) and on behalf of the Professional Users, who will apply the necessary measures for its custody and security in accordance with data protection regulations and for the purposes expressed in the Privacy Policy.

Likewise, once express consent for the processing of these biometric data has been collected, they will remain encrypted within the document and may not be used by TMT under any circumstances, without prejudice to the exceptions provided for by the regulations referring to the protection of personal data.

5.6. In-App Payments

Professional Users who so wish may manage End User payments through TIMP and/or TIMPY. This payment management will be carried out directly by TMT (through a duly authorized payment service provider), so the Professional User will not need to create accounts in external payment managers.

TMT will be responsible for executing the collection orders issued by the Professional User through In-App Payments. TMT will not proceed to verify either the relevance of the payment or the refund ordered by the Professional User. All information uploaded will be the responsibility of the Professional User, who must previously confirm that the information and the order issued are correct. In this sense, TMT will be completely external to any dispute or controversy that may arise between the Professional User and their End Users in relation to the charges made.

The rates and/or commissions that TMT will charge the Professional User for this service and the payment method will be those indicated in the particular conditions that the Professional User must accept prior to contracting this service. TMT may pass on to the Professional User any other rate, commission, or charge applied by the payment service provider for any concept related to the provision of the service to the Professional User.

5.7. Client Chat

TMT offers Professional Users the possibility to use the “Client Chat” function. Through the “Client Chat”, Professional Users can centralize communications with End Users.

Professional Users will have a “Communication Center” in the panel from where they can consult all the chats that End Users have maintained with them. They can also open new chats with End Users they have never communicated with. For their part, End Users will have a new section in the TIMP App from which they can consult ongoing chats and open new ones.

The “Client Chat” configuration will be carried out directly by the Professional User through the panel. Thus, the Professional User will be responsible for establishing and controlling the professionals under their charge who will be enabled to use this function. Likewise, they will have the possibility to enable or block this function for their End Users. TMT will simply perform technical maintenance and support tasks for the “Client Chat” function without having any interference, control, or moderation function over the content processed or exchanged through chats between End Users and Professional Users. It will be the Professional User’s responsibility to ensure that the professionals under their charge and the End Users make responsible use of this function and always in accordance with these Terms and Conditions. Likewise, it will be the Professional User’s obligation to comply with applicable regulations to ensure that the use of the chat complies with the law, especially regarding data protection regulations. The Professional User must indemnify TMT against any claim for infringement of applicable legislation through the content posted and/or shared via chat. In the event that TMT becomes aware of any infringement of third-party rights or applicable legislation, in compliance with its duty of diligence, it may implement the measures it deems necessary to mitigate the damage that may be generated by said infringement, which may even include the suspension of the “Client Chat” function.

6. Payments from End Users to Professional Users

As determined by Professional Users, in TIMP their End User clients may pay for the services contracted through TIMP, using the payment platform managed by the provider established by TMT, or pay the Professional User directly through the payment method they freely designate. In the event that payment is made through TIMP, TMT will manage the collection on behalf of the Professional Users, who must pay the agreed commissions.

Professional Users are responsible for setting the prices of the services they offer to End Users through TIMP, and are also responsible for billing or issuing the corresponding ticket in accordance with the applicable billing obligation regulations.

Compliance with tax obligations derived from the receipt of payments from End Users is the exclusive responsibility of Professional Users.

By using TIMP, the Professional User undertakes to comply with all regulations applicable to them and undertakes to report the receipt of all collections obtained in relation to the use of TIMP to the competent tax authority. TIMP recommends that Professional Users seek professional advice to ensure they comply with all applicable tax rules.

7. Cost of the service

The cost of TIMP plans and the contracting terms, as well as their extensions, will be timely indicated to the Professional User prior to their contracting, for the corresponding acceptance and processing of their registration. The payment method will be the one selected by the Professional User from the options proposed by TMT. The option selected by the Professional User will be duly reflected in the particular conditions accepted by TMT and the Professional User at the time of contracting the services.

7.1. Cost of optional modules

TMT offers Professional Users the possibility of contracting optional modules to integrate into TIMP. In the event that the Professional User activates any of the optional modules through their TIMP user account, they will be previously informed of the cost of the service, scope of the chosen plan, applicable commissions, payment method, permanence, among other aspects.

7.2. Monthly collections

The Professional User is aware at all times through the “My Plan” section of the value of the monthly fee to be paid.

7.3. Non-payments

In the event of non-payment by the Professional User, TMT reserves the right to stop providing the service if, after seven (7) calendar days from the first missed payment, the fee remains unpaid. In such case, TMT may block the Professional User’s access to the online software, as well as to the mobile app(s). Notwithstanding this block, the Professional User may download the personal data for which they are responsible. For this purpose, they must contact TMT at the email address soporte@timp.pro.

The Professional User must proceed to pay the unpaid fee within a maximum period of fifteen (15) calendar days from the start of the blocking; if this payment is not made, TMT reserves the right to terminate the contractual relationship established with the Professional User and, if applicable, to initiate the legal actions corresponding to it by law. Once the contractual relationship between the Professional User and TMT is terminated due to this non-payment, all authorization for TMT as data processor to access the personal data for which the Professional User is responsible will cease. Thus, in compliance with data protection regulations, TMT will proceed to delete the personal data it processes on behalf of the Professional User.

8. Deregistration of Professional Users

Professional Users may request to cancel their TIMP account by notifying TMT at least fifteen (15) days before the next charge for the corresponding plan is made. Account cancellation will be carried out through the “organization settings” > “plan and invoices” > “my plan” > “Edit” > “Cancel plan” section. Once the notice has been received, TMT will carry out the necessary steps to process the cancellation request.

In relation to the personal data for which the Professional User is responsible and to which TMT has access in its capacity as data processor, TMT will return, destroy, or hand over such data to a new data processor in accordance with the instructions that the Professional User sends to TMT. In the absence of instructions, the provisions of the Data Processing Agreement signed between TMT and the Professional User at the time of registering as a Professional User of TIMP or TIMPY will apply.

9. Rules of use

Users must comply with the following rules of use:

• Do not use TIMP in any way, for purposes or with effects that are contrary to the law, morality, generally accepted good customs, or public order.
• Do not use TIMP except for personal use, and do not sell, assign, transfer, or share the account.
• Do not carry out acts that may infringe any intellectual or industrial property rights belonging to TMT.
• Do not reproduce, copy, record, share, communicate, distribute, allow public access through any form of public communication, transform or modify the content published on TIMP, or create derivative works from any content.
• Do not use any information obtained through TIMP to send advertising, communications for direct sales purposes, or for any other commercial purpose.
• Do not impersonate another person or organization.
• Do not use disrespectful or offensive language, or use the platform to intimidate, harass, or threaten anyone.
• Do not present, cite, or recommend companies or websites, and in general do not carry out marketing actions or spam.
• Do not upload, publish, display, or share any content that:
  • gives the impression that it is approved, endorsed, or supervised by TMT;
  • contains or refers to personal data or information about any person;
  • shows, includes, or refers to any person if their express consent has not been obtained;
  • promotes or advertises goods, services, or the image of third parties;
  • is illegal, fraudulent, defamatory, discriminatory, threatening, harassing, or that encourages or promotes violence or any illegal activity;
  • shows, promotes, or refers to pornography, violence in any form, drugs, weapons, scatological material, or similar content;
  • contains, promotes, or refers to any hate speech against any individual or group;
  • promotes or is related to third-party commercial activities or sales.
• Do not use or engage in deceptive conduct or conduct that may mislead any User.
• Do not impersonate TMT, its employees, or another User.
• Do not knowingly introduce into TIMP any element that could be malicious, such as viruses, trojans, etc.
• Do not attempt in any way to discover TIMP’s source code.

Violation of these rules of use may result in the suspension of access to TIMP. In this case, TMT will notify the User of the suspension of their access and the reasons for such suspension. TMT will in all cases observe Users’ rights in accordance with applicable regulations.

10. Intellectual property and license of use

TMT owns TIMP, the associated mobile application, its manuals, and any other related material, as well as, by way of example and not limitation, the content accessible through the website www.timp.pro, TIMP and its app, trademarks, and other distinctive signs. The industrial and intellectual property rights associated with these intangible assets are owned by TMT, which holds the exclusive exercise of the rights of use and exploitation in accordance with applicable regulations.

The license to use the TIMP software and mobile application is granted to the Professional User on a non-exclusive and non-transferable basis for the same duration as the contracted plan. In any case, this use license is limited to allowing the Professional User to use and enjoy TIMP and the mobile application under the contracted terms. It is expressly prohibited to modify, copy, reuse, exploit, reproduce, publicly communicate TIMP and the mobile application or part of it, or reverse engineer the source code of TIMP and its mobile application. It is also prohibited to modify, copy, reuse, exploit, reproduce, publicly communicate, publish content, or distribute in any way all or part of the content included on the website www.timp.pro, TIMP, and its mobile application, for commercial or any other purposes, without the express written authorization of TMT or, where applicable, the owner of the corresponding rights.

Once the relationship between TMT and the Professional User ends, any license or authorization of use granted by TMT to the Professional User under these Conditions will immediately cease.

11. Updates and technical support

TMT will adapt TIMP according to any changes or updates it deems necessary or appropriate. Updates will be applied automatically as determined by TMT.

TMT does not guarantee that the current functionalities of the software will remain in the same state as they currently are, and may at any time make the updates or modifications it deems appropriate.

TMT will answer any questions regarding the functioning and operation of the TIMP software by means of an e-mail service at soporte@timp.pro.

12. Obligations of TIMP and Professional Users

TMT’s obligations are:

1. Allow the Professional User to use the TIMP online software and mobile app to achieve the purposes described in section three of these conditions and in the specific conditions.
2. Allow the Professional User access to the information available to TMT regarding appointment bookings made by Users.
3. Display in TIMP the information entered by the Professional User, as well as any modifications they may make.
4. Deposit into the bank account owned by the Professional User the amount resulting from subtracting from the amount paid by the End User for the purchased pass the amount corresponding to TMT’s commission according to the agreed percentage.

The Professional User’s obligations are:

1. Keep their Professional User profile in TIMP up to date, correcting, if necessary, their personal data, name or company name, tax ID number, address, bank details, or any other data required by TMT in TIMP, as well as keeping the prices, sessions, and services offered through TIMP up to date.
2. Pay the fee corresponding to the contracted plan, within the agreed time and in the agreed manner.
3. Receive and handle any type of third-party claims relating to the services provided by the Professional User, as well as those related to updating the published prices and services.
4. The Professional User must also hold all economic rights, intellectual property, or industrial property rights in relation to the content they include in TIMP.
5. The Professional User must indicate in TIMP their change, cancellation, and refund policy so that the End User can know it in advance before making payment. They must duly inform End Users of their privacy policy.
6. The Professional User must handle User requests for cancellation, refund, or change of the contracted service in accordance with the cancellation, change, refund, and returns policy they have published in TIMP, observing, in any case, the provisions of these general conditions regarding the refund policy vis-à-vis End Users.
7. Grant the corresponding authorizations so that TMT may, directly or through the payment collection service providers selected by TMT, through TIMP, manage the collection of payments made by the End User in consideration for the purchase of services or passes redeemable for services provided at the Professional User’s center(s).
8. Allow TMT, directly or through payment management service providers selected by TMT, to deduct from the amount paid by the User the amount corresponding to the commission for the payment management service in accordance with these conditions.
9. Provide the End User with the invoice, receipt, or tax document that must be generated as a result of the End User’s purchase of the service or pass redeemable for the services provided at the Professional User’s center, stating the total amount, without deducting the commission invoiced by TMT, and VAT, where applicable.
10. Have all necessary administrative permits and authorizations in force.
11. Use TIMP for lawful purposes and in compliance with applicable regulations; in particular and without limitation, use TIMP in accordance with the provisions of Law 11/2021, of July 9, on measures to prevent and combat tax fraud, and with the tax regulations in force at any given time.
12. Make diligent use of the content and services accessible from TIMP.

13. Liability

TMT will ensure, to the extent reasonably possible and within the limitations established in these Conditions, the proper functioning of the TIMP software. However, TMT will not be liable for any interruptions in access caused by circumstances beyond its control, such as incidents in communication networks, software maintenance tasks, incident resolution, among others; although it will use its best efforts to ensure that they do not occur. With regard to scheduled or known interruptions, TMT will give the Professional User reasonable advance notice, and disclaims any liability for the Professional User’s inability to access the software.

TMT is merely an intermediary service provider and therefore will not be responsible for the content that the Professional User may host in their TIMP account. Any damage or harm that the content or information hosted by the Professional User in TIMP may cause to third parties will be the sole responsibility of the Professional User. TMT will act with due diligence as soon as it becomes aware of the infringement of third-party rights.

TMT is not a party to the contractual relationship that each Professional User establishes with their respective End Users, and therefore will not be liable to such End Users. The Professional User is solely responsible for fulfilling their obligations to End Users. By way of example and not limitation, TMT will not be responsible for the proper provision of the services offered by the Professional User, even if they use TIMP to manage bookings, schedules, and end users, nor for those whose payment has been managed through TIMP, without prejudice to the provisions of these conditions regarding the refund policy.

TMT does not exercise any control over the content that Professional Users may publish, nor does it assume any responsibility for such content, nor does it have any obligation to supervise or monitor it. The Professional User is solely responsible for the content they make public.

Likewise, in the event of a claim by the End User, the Professional User releases TMT from any liability. In this regard, the Professional User states that they are aware that, should an End User submit a claim against TMT, TMT will refer them to the Professional User so that they can pursue their claim.

In the event of a claim by the Professional User for breach and/or damages of any kind arising from the use of TIMP, the Professional User agrees that TMT’s liability will be limited to a maximum of the amount of the monthly fee paid by the Professional User for the period in which the incident occurred or the damage was caused.

The Professional User accepts and acknowledges that any claims the User may make regarding the quality or diligence in the provision of the service provided by the Professional User will be assumed by the Professional User.

Likewise, the Professional User affirms knowledge that the TIMP software is not designed to meet their particular needs, but is intended for a general purpose. There is no guarantee that the program’s features will be what, in the Professional User’s opinion, should be met, nor that they will respond to their particular needs.
In relation to the hardware that TIMP may supply to the End User, specifically the Device, TIMP will not be responsible for any aspect derived from the Device, whether access failures, validation errors, service interruptions, or incidents arising from connectivity problems, lack of coverage, power outages, incorrect installation, failures in the Center’s infrastructure, or use contrary to the technical documentation. The warranty and coverage will be those offered by the manufacturer as specified in section 5.4 of these Conditions.

14. Prohibitions

Any use other than the purpose of TIMP indicated in these conditions is prohibited, and the Professional User shall be liable for any damages caused as a result of breaching any of the obligations set out in these conditions.

The total or partial reproduction of the TIMP software is prohibited, even for personal use, by any means and in any form, whether permanent or temporary; as well as translation, adaptation, arrangement, or any other transformation, and the reproduction of the results of such acts, and any form of public distribution, including renting the software or any assignment of use to unauthorized third parties, or applying reverse engineering to TIMP.

These acts constitute an infringement of TMT’s exploitation rights and may constitute an offence against intellectual property.

15. Data protection

The data provided by Professional Users as TMT clients is processed in accordance with the provisions of TMT’s Privacy Policy, published at
https://www.timp.pro/politica-de-privacidad

The provision of the services covered by these Conditions and the specific conditions by TMT to Professional Users entails TMT’s access to personal data for which the Professional User is responsible. In this regard, in compliance with data protection regulations, TMT and the Professional User must sign the data processing agreement that TMT makes available to Professional Users at the time they register with TIMP. This agreement sets out the instructions that TMT must follow in order to process personal data on behalf of the Professional User.

16. Personal information settings

From TIMP, it is possible for End Users and Professional Users to access and update their profile information, both through the web application and through the mobile application. These changes will take effect immediately once saved and will be received by TIMP to be taken into account in subsequent uses.

An End User may request cancellation from the Professional User with whom they have contracted services through the mobile application, from the “Request Cancellation” menu. The Professional User must contact the End User to indicate the steps to follow.

17. Nullity or ineffectiveness of clauses

If any clause included in these Conditions is declared, in whole or in part, null and void or ineffective, such nullity or ineffectiveness will affect that provision or, where applicable, the part thereof that is null and void or ineffective, and such provision will be deemed totally or partially not included, while the remaining agreements included in the Conditions will remain enforceable.

18. Applicable law and jurisdiction

These Conditions will be governed and interpreted in accordance with Spanish law in anything not expressly established. For the resolution of any litigation between TMT and the Professional User arising from the interpretation, execution, or fulfillment of these conditions, the courts of the city of Valencia will have jurisdiction, with express waiver of any other jurisdiction that may correspond.
